NOTICE OF ANNUAL MEETING OF MEMBERS

MECKLENBURG ELECTRIC COOPERATIVE

CHASE CITY, VIRGINIA

                       Pursuant to the Bylaws of Mecklenburg Electric Cooperative adopted July 18, 2001, notice is hereby given of the
                   Annual Meeting of the Members to be held at the Cooperative headquarters in Chase City Virginia, at 6:30 p.m.
                   registration begins at 5:00 p.m.) on Wednesday June 18, 2008, to take action on the following matters:

                       1. Reports of officers, directors, and management;

                       2. Election of four (4) directors for a three-year term; one director for an unexpired two-year term; and

                       3. All other business, which may properly come before the meeting.                                

                  In accordance with the Bylaws, the Board of Directors appointed a Nominating Committee to nominate members to be
                  presented at the  Annual Meeting for election as directors to fill four vacancies that will be created by terms expiring at
                  the time of the meeting and the retirement of the director in District No. 11. This Committee met on March 25, 2008, and
                  nominated the following:

                                     All of the above were nominated as specified in the Cooperative Bylaws. The Bylaws provide for further nominations
                                     by written petition of one hundred (100) or more members, which petition shall be filed with the Secretary at least
                                     seventy-five (75) days prior to the meeting.
